1. Introduction

Welcome to BeatMV ("we," "us," or "our"). These Terms of Service ("Terms") govern your access to and use of the BeatMV platform, website at beatmv.ai, and all related services (collectively, the "Service"). By creating an account or using any part of the Service, you agree to be bound by these Terms. If you do not agree, please do not use the Service.

2. Description of Service

BeatMV is an AI-powered music video creation platform. Our Service includes, but is not limited to, the following tools:

• AI Music Video Generator - Generate music videos from audio tracks with AI-powered visual styles and scene composition.
• AI Music Generator - Create original songs from text descriptions in any genre, with or without vocals.
• AI Image Generator - Generate album covers, storyboard frames, and promotional artwork from text prompts.
• AI Music Remixer - Transform songs into different genres by uploading audio and selecting a target style.
• AI Cover - Create cover versions of songs with different vocal styles using AI voice synthesis.
• Add Vocals to Music - Add AI-generated vocals to instrumental tracks with custom lyrics.
• AI Instrumental Generator - Generate backing tracks and instrumentals from text prompts or audio files.
• AI Lyrics Generator - Generate original song lyrics with customizable genre, mood, and structure.
• AI Music Extender - Extend audio tracks with AI-generated continuations that match the original style.
• Vocal Remover - Separate vocals from instrumentals, or split songs into individual stems (drums, bass, guitar, etc.).
• Audio Cutter - Trim and cut audio files with waveform visualization and lossless quality.

3. Account Registration

To access certain features of the Service, you must create an account. You agree to provide accurate, current, and complete information during registration and to keep your account information updated. You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account.

4. Credits and Payment

BeatMV operates on a credit-based system. Certain actions within the Service consume credits. Credits can be obtained through:

• Free credits provided upon account registration.
• Subscription plans (monthly or annual) that include a recurring credit allowance.
• One-time credit pack purchases.

All payments are processed through secure third-party payment providers (Stripe, PayPal). Subscription plans auto-renew unless cancelled before the renewal date. Prices are listed in USD and may be subject to applicable taxes.

5. Intellectual Property and Content Ownership

5.1 Your Content

You retain ownership of all audio files, images, text, and other materials you upload to the Service ("User Content"). By uploading User Content, you grant BeatMV a limited, non-exclusive license to process your content solely for the purpose of providing the Service.

5.2 AI-Generated Content

Content generated by BeatMV's AI tools (music, images, videos, lyrics) is licensed to you for personal and commercial use, subject to your active subscription or credit usage. You may use AI-generated content in YouTube videos, podcasts, advertisements, films, games, social media, and other projects. BeatMV does not claim ownership of AI-generated content created through your account.

5.3 Third-Party Rights

You are responsible for ensuring that any content you upload does not infringe on the intellectual property rights of third parties. When using tools such as AI Cover or AI Music Remixer with copyrighted source material, you must hold the appropriate rights or licenses for the original content.

6. Acceptable Use

You agree not to use the Service to:

• Upload, generate, or distribute content that is illegal, harmful, threatening, abusive, defamatory, or otherwise objectionable.
• Infringe upon the intellectual property rights of any third party.
• Attempt to reverse-engineer, decompile, or extract the source code of any AI models or algorithms used by the Service.
• Use automated scripts, bots, or other tools to access the Service in a manner that exceeds normal human usage.
• Resell, redistribute, or sublicense access to the Service or its AI capabilities to third parties.
• Generate content that promotes violence, hate speech, or exploitation of minors.

7. Service Availability and Modifications

BeatMV strives to maintain continuous availability of the Service, but we do not guarantee uninterrupted access. We may modify, suspend, or discontinue any part of the Service at any time, with or without notice. We reserve the right to update these Terms, and your continued use of the Service after changes are posted constitutes acceptance of the updated Terms.

8. Data and Privacy

Your use of the Service is also governed by our Privacy Policy. We collect and process data as described therein. Audio files, images, and other content you upload are processed on secure servers. We do not use your uploaded content to train our AI models without your explicit consent.

9. Limitation of Liability

To the maximum extent permitted by law, BeatMV and its affiliates, officers, employees, and agents shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, or goodwill, arising out of or related to your use of the Service. Our total liability for any claim related to the Service shall not exceed the amount you paid to BeatMV in the twelve (12) months preceding the claim.

10. Indemnification

You agree to indemnify, defend, and hold harmless BeatMV and its affiliates from any claims, damages, losses, and expenses (including reasonable legal fees) arising from your use of the Service, your violation of these Terms, or your infringement of any third-party rights.

11. Termination

We may suspend or terminate your account at any time if we believe you have violated these Terms. Upon termination, your right to use the Service ceases immediately. Any unused credits are non-transferable and non-refundable upon termination for cause. You may delete your account at any time through your account settings.

12. Governing Law

These Terms shall be governed by and construed in accordance with applicable law, without regard to conflict of law principles. Any disputes arising from these Terms or the Service shall be resolved through binding arbitration, except where prohibited by law.
